OctoStream - Terms of Service

Welcome to OctoStream. These Terms of Service ("Terms") apply to your use of the OctoStream website, octostream.com, and the OctoStream services, applications, APIs, software, and related infrastructure (collectively, the "Service"). By using the Service, you agree to these Terms. If you do not agree to these Terms, you may not use the Service.

OctoStream was previously known as RTSPStream. These Terms apply to the Service under its current and former branding.

These Terms form a legally binding agreement between you and OctoStream. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

These Terms incorporate by reference our Privacy Policy and Refund Policy. If another written agreement signed by OctoStream applies to your use of the Service, that agreement controls only to the extent it expressly conflicts with these Terms.

Service Description

OctoStream is a Software as a Service (SaaS) platform for connecting, converting, relaying, embedding, monitoring, and managing live video streams, including RTSP, RTMP, HLS, and related streaming workflows. The Service may include web applications, APIs, infrastructure, stream probing, thumbnails, analytics, and related tools. The Service is not designed for emergency, life-safety, medical, law-enforcement, or other mission-critical uses where interruption, delay, data loss, or an inaccurate stream could cause injury, property damage, or other serious harm.

Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You are responsible for complying with all laws and regulations that apply to your use of the Service, including laws governing surveillance, recording, consent, privacy, biometric information, consumer protection, export controls, sanctions, intellectual property, and telecommunications.

User Accounts

In order to access certain features of the Service, you may be required to create an account. You agree to provide accurate and complete information when creating your account and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. OctoStream may suspend or terminate your account, restrict access, remove content, or refuse Service if we reasonably believe you have violated these Terms, created risk for OctoStream or others, or used the Service in a way that may expose OctoStream, its owners, employees, contractors, service providers, users, or third parties to liability, security risk, operational harm, or reputational harm.

Each login, stream key, publish token, API credential, and other account identifier is intended only for authorized use. You may not share individual login credentials, and you must promptly rotate exposed stream keys or tokens and notify us if you believe your account or credentials have been compromised.

If your plan allows team members, collaborators, contractors, or other authorized users to access your account, you are responsible for managing their access and for all activity they conduct through your account. Any action taken by a person or system using your account, credentials, streams, embeds, or destinations will be treated as your action unless applicable law requires otherwise.

Payment

OctoStream offers a free plan and paid plans with additional features, usage limits, and billing terms. If you choose a paid plan, you agree to pay all fees, taxes, overage charges, and other amounts associated with your use of the Service. Unless otherwise stated at checkout or required by law, fees are billed in advance and are non-refundable except as provided in our Refund Policy. We may change plan features, prices, and usage limits prospectively by providing notice through the Service, by email, or at checkout.

You are responsible for all charges incurred through your account, including bandwidth, storage, transcoding, stream probing, destination, support, and other usage-based or overage charges that apply to your plan. Published prices generally exclude taxes, duties, levies, payment processor fees, bank fees, currency conversion costs, and similar charges unless expressly stated otherwise.

If a payment method fails, is reversed, is disputed, expires, or becomes invalid, we may suspend or limit the Service, downgrade your plan, disable stream delivery, stop processing destinations, or terminate your account. You remain responsible for amounts incurred before suspension, downgrade, termination, or cancellation.

Your Streams and Content

"User Content" means content, streams, URLs, credentials, metadata, thumbnails, files, text, settings, and other materials that you submit, transmit, display, process, or make available through the Service. You retain ownership of your User Content.

You grant OctoStream a worldwide, non-exclusive, royalty-free license to host, transmit, store, cache, copy, modify, transcode, reformat, create technical derivatives of, display, perform, distribute, and otherwise process User Content solely as needed to provide, secure, operate, support, improve, and enforce the Service and these Terms.

You understand that authorized OctoStream personnel may access User Content, stream configuration, source URLs, thumbnails, probe artifacts, stream metadata, logs, and, when necessary, live or recent stream content for limited operational purposes. These purposes include providing support, troubleshooting, monitoring service reliability, verifying stream delivery, preventing abuse, enforcing plan limits, investigating security or policy violations, and complying with legal obligations.

You represent and warrant that you own or have all rights, licenses, permissions, consents, and notices required to submit, stream, record, display, distribute, and otherwise process User Content through the Service. You are solely responsible for the legality, accuracy, safety, confidentiality, and security of your User Content and stream sources.

OctoStream does not control your cameras, stream sources, viewers, destinations, or third-party accounts. You are solely responsible for obtaining consent from recorded or viewed persons where required, posting notices where required, respecting private areas and property rights, securing stream credentials, and making sure that your use of the Service does not violate any law, agreement, platform rule, or third party right.

If you make streams, embeds, watch pages, APIs, integrations, or other content available to your own viewers, customers, users, employees, or contractors, you are responsible for those relationships. You must provide any terms, privacy notices, disclosures, support, moderation, access controls, and legal compliance required for your audience and use case.

Third-Party Services and Destinations

The Service may connect to third-party platforms, services, networks, devices, software, payment processors, storage providers, content delivery networks, analytics providers, and streaming destinations. OctoStream does not control and is not responsible for third-party services, their availability, security, performance, terms, policies, or handling of your content or data. Your use of third-party services is governed by your agreements with those third parties.

APIs, Embeds, and Integrations

We may provide APIs, embed codes, SDKs, documentation, examples, command-line tools, or other integration materials. You receive only a limited, non-exclusive, non-transferable, revocable right to use those materials to access the Service in accordance with these Terms and our documentation. We may change, deprecate, rate limit, disable, or remove APIs, embeds, endpoints, stream formats, features, or documentation at any time. You are responsible for keeping your integrations compatible with the then-current Service and for ensuring your integrations do not degrade, disrupt, overload, or bypass the Service.

Service Availability and Changes

The Service may be unavailable, interrupted, delayed, degraded, changed, or discontinued from time to time due to maintenance, upgrades, network conditions, third-party services, abuse prevention, security issues, capacity limits, or events outside our control. We do not guarantee uninterrupted streaming, permanent storage, particular latency, compatibility with any device or platform, or preservation of any User Content unless expressly stated in a separate written agreement.

We may suspend all or part of the Service without liability when we reasonably believe suspension is needed for maintenance, upgrades, security, abuse prevention, legal or regulatory reasons, third-party provider issues, unusual traffic or usage spikes, payment problems, network attacks, or protection of OctoStream, users, viewers, service providers, or third parties. When practical, we may provide notice or status updates, but we are not liable if notice is delayed, unavailable, or not received.

Security and Backups

We use reasonable safeguards designed to protect the Service, but no online service, network, stream transport, storage system, or method of transmission is completely secure or reliable. You are responsible for securing your cameras, source URLs, destination accounts, passwords, tokens, stream keys, embeds, viewers, applications, and local networks. You are also responsible for maintaining backups or alternate delivery plans for any content, settings, recordings, thumbnails, logs, or data that you need to preserve.

Privacy

Our Privacy Policy explains how we collect, use, and disclose personal data. You are responsible for providing any privacy notices and obtaining any consents required for personal data that you collect, stream, record, transmit, or otherwise process through the Service.

Intellectual Property

OctoStream and its licensors retain all rights, title, and interest in and to the Service, including software, designs, trademarks, logos, documentation, and related intellectual property. These Terms do not transfer any OctoStream intellectual property rights to you. You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly allowed by these Terms or by written permission from OctoStream.

You may not remove, obscure, or alter proprietary notices in the Service or misrepresent your relationship with OctoStream. Unless we give prior written permission, you may not imply that OctoStream sponsors, endorses, certifies, or is responsible for your streams, applications, websites, products, services, or content.

Feedback

If you provide feedback, suggestions, ideas, or recommendations about the Service, you grant OctoStream a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation to you.

Confidentiality

If OctoStream provides non-public information that is marked confidential or should reasonably be understood to be confidential, you may use it only to access or evaluate the Service and may not disclose it to third parties without our written permission. Confidential information does not include information that becomes public without breach of these Terms, was already lawfully known to you, is lawfully received from a third party, is independently developed without use of OctoStream confidential information, or must be disclosed by law.

Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless OctoStream and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your User Content, your stream sources or destinations, your violation of these Terms, your violation of law, your violation of any third-party right, or any dispute between you and any third party.

We may control the defense or settlement of any matter subject to indemnification. You may not settle an indemnified claim in a way that admits fault by OctoStream, imposes obligations on OctoStream, or affects OctoStream's rights without our prior written consent.

Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. OctoStream disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, reliability, and uninterrupted or error-free operation. OctoStream does not warrant that the Service will prevent unauthorized access, data loss, downtime, stream failure, content misuse, legal violations by users, or third-party claims.

Limitation of Liability

To the fullest extent permitted by law, OctoStream and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, content, use, business opportunity, or business interruption, arising out of or related to the Service or these Terms, even if advised of the possibility of those damages.

To the fullest extent permitted by law, the total liability of OctoStream and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns for all claims arising out of or related to the Service or these Terms will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid to OctoStream for the Service during the three months before the event giving rise to the claim. Some jurisdictions do not allow certain disclaimers or limitations, so some of the above limitations may not apply to you.

Release

To the fullest extent permitted by law, you release OctoStream and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, service providers, successors, and assigns from claims, demands, liabilities, damages, losses, and expenses arising out of or related to disputes between you and third parties, third-party services, your stream sources, your viewers, your destinations, or your User Content.

Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms, if your use creates risk for OctoStream or others, if required by law or a third-party service provider, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, limitations of liability, indemnification, release, dispute provisions, and general terms.

After suspension or termination, you remain responsible for all fees and obligations incurred before the effective date. We may delete, disable, or stop storing User Content, stream configurations, recordings, thumbnails, probe artifacts, logs, embeds, or destinations after termination, except where a paid plan, separate written agreement, or applicable law requires a different retention period.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to any mandatory rights you may have under applicable law, you and OctoStream agree that any dispute arising out of or related to these Terms or the Service will be brought only in the state or federal courts located in California, and you consent to the personal jurisdiction and venue of those courts.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on this page, updating the effective date, emailing you, or providing notice through the Service. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

Notices

We may provide notices to you by posting them on the Service, sending them to the email address associated with your account, displaying them in your dashboard, or using other reasonable contact information you provide. You are responsible for keeping account contact information current, and notices are deemed received when sent or posted. Legal notices to OctoStream must be sent to contact@octostream.com unless we publish a different notice address.

General Terms

These Terms, together with policies linked in these Terms, are the entire agreement between you and OctoStream regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent, but OctoStream may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.

Nothing in these Terms creates a partnership, joint venture, agency, fiduciary, employment, franchise, escrow, or exclusive relationship between you and OctoStream. Except where these Terms expressly state otherwise, there are no third-party beneficiaries.
